This Agreement governs residential, office and other cleaning services. The exact scope, price and order conditions are recorded in Annex 1.
Parties
0.1. ANBITS LLC, Tax ID 07635003, State Registration No. 999.110.1601936, registered address: Tavush Region, Noyemberyan, Voskevan 2, House 6, P.O. Box 4113, Republic of Armenia, represented by Director ARKADI ALEKSANYAN ARMENI (the “Contractor”), on the one part,

1. Subject of the Agreement
1.1. The Contractor shall provide the cleaning and agreed related services ordered by the Customer, and the Customer shall accept properly rendered services and pay for them.
1.2. The type of service, premises, address, date and time, number of staff, included/excluded work, additional services and price are specified in Annex 1, which forms an integral part of this Agreement.
1.3. The Contractor may use its employees or lawfully engaged subcontractors while remaining responsible for service quality, confidentiality and safety obligations.
1.4. An electronically confirmed order summary, message or invoice may supplement Annex 1 where the Parties and essential order terms can be identified.
2. Scope and limitations
2.1. Only work listed in Annex 1 is included. Unlisted work is performed only after Customer approval and agreement of the additional price.
2.2. The preliminary price may be revised if the actual condition, size, level of contamination, access or scope materially differs from the information supplied by the Customer. The Contractor shall obtain approval before additional work.
2.3. Hazardous waste, biological contamination, major construction debris, unknown chemicals, pest or mold remediation, specialist work at height, or other high-risk work is excluded unless separately agreed in writing.
2.4. The Contractor may refuse to clean a surface where its material/coating cannot be identified, manufacturer instructions are unavailable, or a test indicates a risk of damage.
3. Contractor obligations and rights
3.1. Provide the service in good faith, within the agreed scope, using appropriate equipment and materials and observing safety rules.
3.2. Provide identifiable uniform/service markings to staff and supervise their conduct.
3.3. Where possible, give advance notice of delays, staffing changes or circumstances affecting performance.
3.4. Keep confidential personal, family, commercial and property information learned during the service except where disclosure is required by law or authorized by the Customer.
3.5. Suspend or refuse work in the event of danger to life/health, aggressive animals, unsafe electrical/gas systems, infectious or biological hazards, apparent unlawful activity or other material risk.
3.6. If the Customer is unreachable, take only reasonable steps necessary to protect persons and property and document the circumstances.
4. Customer obligations and rights
4.1. Before work begins, provide accurate information about area, condition, special surfaces, hazards, allergies, animals and special requirements.
4.2. Provide safe and lawful access, working water, electricity, lighting and necessary access to the premises.
4.3. Remove or securely store cash, jewelry, documents, weapons, medicines, data media and other high-value or hazardous items.
4.4. Disclose fragile, damaged, repaired, special-care or high-value items and record them in Annex 2.
4.5. Keep children and animals at a safe distance from the work area.
4.6. Participate in final inspection or appoint an authorized person. If absent, the Contractor may document completion by photo/video in accordance with this Agreement.
5. Price and payment
5.1. The service price is stated in Annex 1 and covers only the work, materials and conditions listed there.
5.2. Payment may be made in cash, by bank transfer, card or another lawful method offered by the Contractor: ☐ in advance, ☐ upon completion, ☐ ____% deposit with balance due on completion.
5.3. The Contractor issues legally required proof of payment. A bank payment is deemed made when funds are credited to the Contractor’s account.
5.4. If work cannot continue for reasons attributable to the Customer, the Contractor may claim payment for work already performed and agreed actual expenses, to the extent permitted by law.
6. Order changes and cancellation
6.1. The Customer may change or cancel an order by informing the Contractor as early as reasonably possible. A cancellation fee applies only if stated in Annex 1 and consistent with actual/reasonable costs and applicable law.
6.2. The Contractor may propose a new time or cancel for force majeure or safety reasons, refunding amounts received for the unperformed part unless otherwise agreed.
6.3. Schedule changes may be confirmed through the same communication channel used to accept the order.
7. Acceptance, defects and complaints
7.1. On completion, the Parties complete Annex 4. Visible defects should preferably be noted at acceptance; later-discovered defects should be reported promptly, with photos/video where possible.
7.2. For a substantiated complaint, the Contractor investigates and, depending on the circumstances and applicable law, offers free correction, proportionate price reduction or another lawful remedy.
7.3. Signing the acceptance act does not waive rights that cannot legally be limited by contract.

8. Property damage and liability
8.1. The Contractor is liable, in accordance with applicable law, for proven direct damage to Customer property caused by its culpable act or omission.
8.2. If damage is discovered, work in the affected area is stopped, an incident record is prepared, photographs are taken, and relevant materials/items are preserved where possible pending review.
8.3. To the extent permitted by law, the Contractor is not liable for pre-existing damage, normal wear, hidden material defects, conflicting manufacturer instructions, undisclosed special characteristics or causes beyond its control.
8.4. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law.
8.5. Damage claims are assessed using documents, the initial-condition record, recordings, reasonable repair/replacement cost and causal connection.
9. Access, keys and security codes
9.1. Keys, access cards or codes supplied by the Customer are used only for the agreed service and are not labeled with the full address.
9.2. Handover and return are recorded in Annex 1 or a separate handover act. No duplicate key is made without written Customer consent.
9.3. In case of loss or suspected unauthorized access, the Contractor promptly informs the Customer and cooperates to limit harm.
10. Video/audio recording, live viewing and personal data
10.1. Recording and live viewing are carried out only on the basis of informed consent in Annex 3 and within the stated purposes, areas and retention periods. Unless otherwise specifically agreed for a package or safety requirement, the Customer may choose service without recording.
10.2. Recording purposes are work-process control, quality verification, protection of the Parties and property, and review of complaints/incidents. Recordings are not used for advertising or published without separate explicit consent.
10.3. Bathrooms/toilets are not recorded while a person is present; changing areas and any area identified in advance by the Customer as non-recordable are excluded, except where separately agreed and lawful.
10.4. A live-view link/account is provided only to an authorized Customer for a limited period and may not be shared with third parties without regard to the rights of persons present.
10.5. The Customer shall inform adult persons present about recording before work begins and protect the rights of minors and others.
10.6. Recordings are retained for the period stated in Annex 3 (standard proposed period: 30 days), unless a complaint, dispute, legal claim or lawful authority request requires longer retention.
10.7. Access is limited to authorized persons who need it for the stated purposes. Appropriate organizational and technical security measures must be applied.
10.8. The Customer may withdraw consent for future processing, subject to legal grounds requiring continued retention of already collected material.
11. Confidentiality and personal data
11.1. Each Party shall use personal and confidential information only as necessary for the service, legal obligations, protection of legitimate interests and dispute resolution.
11.2. Personal data shall be processed lawfully, fairly, proportionately and securely, and not retained longer than necessary, subject to statutory requirements.
11.3. Information may be provided to service providers acting under confidentiality/data-processing obligations, payment providers, insurers, advisers or competent authorities where lawfully necessary.
12. Force majeure
12.1. A Party is not liable for failure caused by circumstances beyond reasonable control, provided it informs the other Party as soon as practicable and seeks to minimize consequences.
12.2. If force majeure prevents performance for a material period, the Parties shall agree a new date or terminate the affected part and settle payments for services actually performed.
13. Notices and communications
13.1. Notices relating to orders may be sent by telephone, SMS, e-mail, website/app or other agreed electronic means.
13.2. A Party shall promptly notify the other of changes to contact information.
14. Governing law and disputes
14.1. This Agreement is governed by the laws of the Republic of Armenia.
14.2. The Parties first seek to resolve disputes through negotiation and written complaint. If unresolved, the dispute is submitted to the competent court or other authorized dispute-resolution body under Armenian law.
14.3. Mandatory consumer rights remain fully effective.
15. Final provisions
15.1. Annexes 1–4 and confirmed order details form an integral part of this Agreement.
15.2. Amendments are valid when confirmed in writing or electronically in a form that permits identification of the Parties and the change.
15.3. If any provision is invalid, the remaining provisions remain effective and the invalid provision is replaced by a lawful rule closest to the original intent.
15.4. The Armenian-language version is the legally controlling version unless the Parties expressly agree otherwise. This English text is provided for customer convenience.
